Introduction


This document explains the rules for using Vouchsafe's identity verification and vouching services. It includes terms for both end users and client organisations. End users use the Service for personal reasons, while client organisations use it for business purposes. By using the Service, you agree to the rules that apply to you. How we make money

 

Vouchsafe is free for individuals. We make money by charging businesses to check the identity details of their customers.

Our system is built in a way that means only the user can access their data, which means we cannot sell user data to third parties.

Terms and conditions for end users

 

These rules apply to people who use Vouchsafe for personal reasons. By using the Service, you agree to follow these rules. If you don’t agree, please don’t use our Service.

1. Access

 

1.1 Personal use: You can use Vouchsafe for personal, non-commercial reasons. You cannot transfer this right to anyone else.

 

1.2 Follow the law: You must follow all laws and rules when using the Service. Don’t use the Service for anything illegal.

 

1.4 Keep your account safe: You are responsible for keeping your account safe. Tell us right away if someone else is using your account without permission. Email privacy@vouchsafe.id.

2. Misuse

 

2.1 Vouchsafe is an identity verification platform. We might take action against users who misuse the service but we do not accept a duty of care to any users of our services. 

 

2.2 ​Use ​of Vouchsafe services ​does ​not ​guarantee ​that ​any user ​is ​in any way vetted ​or ​trusted ​by ​Yoti or any associated business.

 

2.3 Where ​there ​is ​proven ​misuse ​of ​our ​service we ​reserve ​the ​right ​to ​suspend ​that ​user ​or ​restrict ​that ​user ​to ​certain ​services. ​Our ​decision ​is final. ​Misuse might ​include:

  • Use ​of Vouchsafe ​to ​commit ​serious ​criminal offences ​(violence ​or ​‘significant’ ​financial ​harm), ​

  • Creating ​or ​operating ​an ​account fraudulently, ​or 

  • A material ​breach ​of ​our ​Terms ​and ​Conditions.

2.4 In ​the ​event ​that ​new, valid ​evidence ​is ​provided, ​that ​proves ​a ​person ​was ​not ​guilty ​of ​the ​misuse, ​that would ​be ​reviewed ​and ​we ​may ​revoke ​a ​​suspension.

2.5 We ​will ​take ​action ​where ​there was misuse of our ​services or a material breach of our Terms and Conditions. This could be, but not limited to:

  • Committing a crime, 

  • Coercion, 

  • False representation, or 

  • User ​tried ​to ​onboard ​an ​identity ​document ​fraudulently.

 

2.6 Where we are made aware of misuse we will take into account all evidence available to us to reach a fair decision depending on the type and level of misuse.

 

2.7 When a user provides information, adds a document, and submits biometric information we undertake a number of activities and fraud checks to ensure the user is genuine.

 

2.8 ​We ​will ​act ​on ​reputable, strong ​and ​credible ​reports ​of ​misuse. ​Examples ​​include ​court ​judgements ​and ​reports ​from ​reputable ​police ​forces. 

 

2.9 If ​a ​user ​reports ​misuse ​of Vouchsafe by ​another ​user ​to ​us, ​we ​will ​advise ​them ​to contact ​the ​police ​or ​other ​relevant ​body. We will take action as set out above if we are provided with valid evidence.

 

2.10 We ​will store records of accounts that we have blocked/suspended on an ongoing basis. On a quarterly basis we will produce a report on these to discuss at the Senior Management Review meeting.

3. Availability of the service

 

3.1 Service availability: We will try to keep the Service running without interruptions, but sometimes there might be maintenance, updates, or network problems.

 

3.2 Maintenance notices: We will let you know in advance if there will be scheduled maintenance that could affect your access.

 

3.3 Changes to terms: We may change these rules at any time. If we make significant changes, we will tell you. If you keep using the Service, it means you accept the new rules.

4. Intellectual property rights

 

4.1 Ownership: Vouchsafe owns all rights to the software, documents, and materials provided with the Service.

 

4.2 Restrictions: You agree not to copy, change, or reverse-engineer any part of the Service or use it for anything other than its intended purpose.

5. Data protection and privacy

 

5.1 Your privacy: We are committed to protecting your privacy and keeping your personal data safe.

 

5.2 Privacy policy, date handling and retention: By using the Service, you agree to our Privacy Policy. Your data will be processed according to the law. [link to privacy policy]

 

5.3 Breach notification: If there is a security breach involving your data, we will let you know as soon as possible.

 

5.4 Correction rights

You have the right to ask us to make changes to your information if we have made a mistake. You are entitled to correct personal information we hold about you that is inaccurate. If you want to make a correction request, please email: privacy@vouchsafe.id.

5.5 Deletion rights

You have the right to ask us to delete your information. In certain circumstances you are entitled to ask us to delete the personal information we hold about you. For some of our products and services you can delete your account or certain information from within the product / service. If you have any deletion request, please email: privacy@vouchsafe.id.

5.6 Objection rights

You have the right to change your mind about us holding your information. In certain circumstances you are entitled to object to Vouchsafe processing your personal information. If you receive any marketing, there will always be an unsubscribe option. If you want to contact us about your objection rights, please email: privacy@vouchsafe.id.

5.7 Restriction rights

You have the right to ask us to stop using any of your personal information. In certain circumstances you are entitled to ask us to restrict our processing of your personal information. You can ask us to do this if:

  • you dispute the accuracy of your personal information; 

  • our processing is unlawful but you prefer restriction to deletion;  

  • we no longer need the information but you need it for legal reasons; or 

  • you have objected to our processing and we are still dealing with this objection.

5.8 Portability rights

In certain circumstances you are entitled to receive the personal information you have provided us in a structured, commonly used and machine-readable format. It allows you to move, copy or transfer personal data easily from one IT environment to another in a safe and secure way, without affecting its usability. If you want to make a portability request, please email: privacy@vouchsafe.id.

6. Limitation of liability

 

6.1 No warranties: We provide the Service "as is," without any guarantees.

 

6.2 Limits on liability: We are not responsible for any indirect, special, or punitive damages, including loss of data or service interruptions.

7. Indemnities

 

7.1 Your responsibility: You agree to protect Vouchsafe from any claims or damages that come from your use of the Service or your violation of these rules.

8. Publicity

 

8.1 Marketing use: We may use anonymised information for marketing and research. We will not share your personal information without your consent.

 

8.2 Opt-out: If you don’t want to be included in marketing materials, let us know at privacy@vouchsafe.id.

9. Force majeure

 

9.1 What is force majeure: Sometimes, things happen beyond our control, like natural disasters or government actions, that can affect the Service.

 

9.2 No liability: We are not responsible if we can’t provide the Service due to these events.

 

9.3 Resuming service: We will do our best to fix any issues and get back to normal as soon as possible.

 

9.4 Extended events: If a Force Majeure event lasts more than 60 days, either of us can end the agreement by giving written notice. We won’t issue refunds unless the agreement says otherwise.

10.3 As a UK company we are regulated by the Information Commissioner’s Office (ICO) who is responsible for making sure that organisations comply with the law on handling personal information. You can complain to them here: https://ico.org.uk/global/contact-us/

11. Termination

 

11.1 Ending your use: You can stop using the Service at any time.

 

11.2 Ending by Vouchsafe: We can suspend or terminate your access if you break the rules or if required by law.

12. Governing law

 

These rules are governed by English law. Any disputes will be handled by the courts in England.

 

Terms and conditions for client organisations

These rules apply to businesses or organisations that use Vouchsafe for their operations. By using the Service, you agree to follow these rules.

1. Terminology
 

Agreement: The contract between you and Vouchsafe for using the Service.

 

Annual licence fee: The yearly fee you pay to use the Service.

 

Customer: The person or company using the Service.

 

End-user: Anyone who uses the Service through your organisation.

 

Party/parties: You or Vouchsafe, individually or together.

 

Payment terms: The rules about how you pay for the Service.

 

Renewal period: The time after the initial term when the Service automatically continues.

 

Service: The identity verification and vouching services provided by Vouchsafe.

 

Term: The period during which you can use the Service, including renewals.

 

Verification fee: The fee for each identity verification.


2. Access and use


2.1 Rights granted: You can use Vouchsafe for your business operations. This right cannot be transferred to others.

2.2 Compliance: You must ensure that your use of the Service follows all laws and regulations.

2.3 End-user access: You can let others (End-Users) use the Service, but:
 

a. You must not make promises about the Service that Vouchsafe hasn’t agreed to in writing.

b. You must make sure Vouchsafe is not responsible for any claims made by End-Users.


3. Availability and support


3.1 Service availability: We will try to keep the Service running with minimal disruptions. However, there may be times when maintenance or upgrades are needed.

3.2 Maintenance notices: We will notify you in advance if scheduled maintenance will affect the Service.

3.3 Support: We will provide support during normal business hours. You must give us the information we need to help resolve any issues. Out-of-hours support is only available if agreed in the contract.

 
4. Fees and payment


4.1 General fees: Fees for the Service are listed in your contract and do not include taxes.

4.2 One-off setup fee: There is a setup fee of at least £4,000. This fee may be higher based on your specific needs.

4.3 Annual licence fee: This fee covers things like data licences, updates, and support. It is due annually.

4.4 Verification fees: The cost for each verification ranges from £2.00 to £20.00, depending on the checks required and the volume you commit to.

4.5 Additional fees: Other fees may apply for extra services, such as setup support or out-of-hours help. These will be outlined in your contract.

4.6 Payment terms: Payments must be made according to the timeline in your contract. If you don’t pay within 15 days of the due date, we may suspend your access to the Service.

4.7 Fee changes: We may change our fees with 90 days’ notice. New fees will apply at the start of the next renewal period.

 
5. Intellectual property rights


Vouchsafe owns all rights to the software, documents, and materials provided with the Service. You agree not to copy, change, or reverse-engineer any part of the Service.

 
6. Data protection


6.1 Privacy commitment: We are committed to protecting the privacy and security of all personal data processed through our Service.

6.2 Compliance: You must follow all data protection laws such as GDPR when using the Service.

6.3 Our responsibilities as a data processor:

a. We will only use personal data for the purposes outlined in this contract.

 

b. We will follow your lawful instructions regarding data processing.

 

c. We will use strong security measures, like encryption, to protect personal data.

 

d. We will not hire any sub-processors without your consent, except for our affiliate, Amazon Web Services.

 

e. We will help you respond to data requests from individuals, like requests to access or delete their data.

 

f. We will notify you within 72 hours if there is a data breach.

6.4 Data transfers: We won’t transfer data outside the UK.

6.5 Data retention and deletion: When the Service ends, we will delete or give you the option to delete personal data, unless the law requires us to keep it longer.

6.6 Audit and compliance: We will work with you on any audits or checks you need to make sure we’re following these data protection rules. If you ask, we’ll provide documents that show we’re complying.

 
7. Indemnities and limitation of liability


7.1 Your responsibility: You agree to protect Vouchsafe from any claims, damages, or costs that result from:

a. End-Users’ use of the Service.

 

b. Unauthorised access by third parties.

 

c. Violations of the law by you or End-Users.

 

d. Your breach of these Terms & Conditions.

 

e. False or misleading information shared through the Service by you or End-Users.

7.2 Limit on liability: Vouchsafe’s total liability for any claims is limited to the total fees you’ve paid in the last 12 months. We won’t be liable for indirect, special, or punitive damages, including lost profits or data.

 
8. Publicity


8.1 Marketing use: We may use your name, logo, and testimonials in our marketing materials. You can opt out by letting us know in writing.

8.2 Use of our name and logo: You can use Vouchsafe’s name and logo, but only if we give you written permission.

 
9. Force majeure


9.1 What is force majeure: Force majeure means events we can’t control, like natural disasters or government actions, that prevent us from providing the Service.

9.2 No liability: We’re not responsible if we can’t fulfil our obligations due to a Force Majeure event.

9.3 Notice: If a Force Majeure event happens, we’ll notify you right away and explain what’s going on and how long it might last.

9.4 Resuming service: We’ll do our best to fix the issue and get the Service running again as soon as possible.

9.5 Extended events: If the event lasts more than 60 days, either of us can end the agreement with written notice. No further obligations will apply, except for any payments still owed.

9.6 Payments: You still have to pay any fees owed, even during a Force Majeure event.

 
10. Termination


10.1 Ending the agreement: Either party can end this agreement with 30 days' written notice. Both parties remain responsible for any obligations incurred before termination.

10.2 Termination for breach: We can immediately suspend or terminate the Service if you break the rules, like not paying fees or misusing the Service.

10.3 Termination for insolvency: Either party can end this agreement if the other party becomes insolvent or ceases business operations.

10.4 After termination:

a. All your rights to use the Service will stop.

 

b. You must stop using the Service immediately.

 

c. You must delete, destroy, or return any software or materials from Vouchsafe.

 

d. You must pay any outstanding fees, including any interest.

 

 e. You must make sure all End-Users stop using the Service.

 

10.5 Data retention: We’ll keep your data for a limited time as required by law or as agreed. After that, we may delete all your data unless we agree otherwise in writing.

 

10.6 Survival of terms: Some parts of this agreement, like those about intellectual property and data protection, will still apply even after the agreement ends.

 

10.7 No refunds: Ending the agreement does not mean you get a refund, unless it’s stated in the contract.

 
11. Governing law


These terms are governed by English law. Any disputes will be handled by the courts in England.
